FIELDS OF EXPERTISE
CORPORATE LAW
GPNR provides legal advisory regarding all kinds of transactions and day-to-day operations, in order to ensure the proper protection of our clients’ interests, and compliance with the different corporate and regulatory obligations.
The activities carried out by this area include all kinds of legal matters related to the corporate life of our clients, such as: (a) companies’ incorporation, decision-making process, (b) corporate financing, (c) joint venture and co-investment with domestic and/or foreign entities processes, (d) corporate restructures; and (e) preparation and negotiation of all kinds of agreements with clients, providers, and shareholders’ agreements and other corporate covenants.
MERGERS AND ACQUISITIONS
We advise purchasers, sellers, equity funds and public and private companies, regarding all kinds of companies and assets purchase, co-investments, strategic alliances, mergers and spin-offs.
VENTURE CAPITAL
Our team has solid experience in venture capital investment and disinvestment processes, having advised, on one side, both investment funds and venture capital investors and, on the other side, entrepreneurs from diverse trade and services areas, and those engaged on product, services and financial solution sales, through technological components.
CORPORATE GOVERNANCE
We advise private companies, as well as their shareholders, and investors in general, in connection with the protection of their interests, and regarding the design, integration, operation and management of corporate governance bodies, such as shareholders’ meetings, boards of directors and intermediary management bodies, including executive and communication and control committees. In this regarding, we manage the secretariat of the board of directors of several private companies and trade associations.
FINANCE REGULATORY LAW
We advise popular financial companies, multiple purpose companies, financial technology institutions (Fintechs), as well as private investment funds in connection with regulatory aspects resulting from their operations, including obtaining approvals from the relevant financial authorities.
REAL ESTATE LAW
Legal advice in connection with all legal acts related to real estate matters, including: (a) drafting and negotiating all kinds of agreements related to real estate, including lease, purchase, management, public or private trust agreements, among other agreements; (b) drafting and participation in technical committee sessions, holders’ meetings, condominium owners’ meetings; (c) creation of condominium property regimes; (d) acquisitions, contributions and disposals of real estate; and (e) drafting of urban development potential studies and, in general, all kinds of administrative and judicial proceedings related to the optimization of the urban potential of real estate. We also have solid experience in Real Estate Investment Trusts (FIBRAS), both regarding their implementation and placement, and their day-to-day management.
INTELLECTUAL AND INDUSTRIAL PROPERTY
GPNR has a specialized area regarding this practice. Our services include:
- Registration and maintenance of trademarks, trade names, patents, trade notices, slogans, utility models, and industrial designs in Mexico, and coordinating registrations abroad.
- Registration of copyrights such as: computer programs, art works, literary works, drawings, musical works, television programs, architectural works, and other applied arts.
- Registration and maintenance of rights and right reservations for broadcasts and daily publications, human and fictitious characters, artistic and artistic group names, and promotions and advertisements.
- Analysis, drafting and study of all kinds of intellectual property related agreements, especially licenses, franchises, assignments and any other transfer of rights.
- Litigation in all areas, request for administrative annulment orders, trademark expiration, counterfeiting and unauthorized use of intellectual and industrial property rights.
PRO BONO
At GPNR we deeply believe in the sense of social responsibility inherent to our profession.
As part of our pro bono practice we provide legal services to various organizations dedicated to (i) the protection of underprivileged individuals or communities, (ii) the promotion of issues of public interest, and (iii) civic, cultural and educational institutions that otherwise would not be able to obtain proper legal representation.
ATTORNEYS
Born in Mexico City, Mexico, on February 23, 1980.
He has more than 17 years of experience in the practice of law. He has worked in renowned law firms in Mexico, and in England and Spain as Foreign Counsel. He served as General Counsel of several companies including KIO Networks and most recently FIBRA UNO, a position he held for just over 4 years.
He has held business-oriented management positions in transnational companies such as Currie & Brown International in England, Spain and Latin America and KIO Networks in Central and South America.
In September 2017 he joined the law firm Gómez Palacio & Niño de Rivera, S.C. as founding partner.
ACADEMIC BACKGROUND
He received his law degree from Universidad Iberoamericana in 2003.
In 2008 he obtained a Master’s in Business Administration (MBA) degree from ICAI/ICADE from Universidad Pontificia de Comillas de Madrid.
In 2016 he took a diploma course in Corporate Governance provided by Universidad Panamericana and the Corporate Coordinating Counsel.
He is a Professor teaching Commercial Law at Universidad Iberoamericana campus Mexico City.

He has more than 16 years of professional experience, during which he has become a corporate law, banking, mergers and acquisitions and financial technology specialized lawyer.
He is Secretary of the Board of Directors and external counsel to several companies, which he advises on corporate governance, transactional and regulatory matters.
Since 2000, he has worked in several prestigious national and international law firms, including White & Case, S.C. and DRB Abogados.
In September 2017, he joined Gómez Palacio & Niño de Rivera, S.C. as founding partner.
ACADEMIC BACKGROUND
He received his law degree from Universidad Anáhuac del Norte in 2003.
In January 2020, he concluded the Diploma Course in Financial Technology Institutions at Instituto Tecnológico Autónomo de México (ITAM).
He has participated as presenter in several technology financing forums (FINTECH) and as professor teaching Commercial Law at Universidad Humánitas.

Emilia provided legal services for 15 years at the firm Barrera, Siqueiros y Torres Landa, S.C. (currently Hogan Lovells), holding the position of Senior Associate for Intellectual Property, Trademarks and Patents, Copyrights, Trade Secrets and Confidentiality Agreements (NDA).

Bachelor’s Degree in Law provided by the Universidad Iberoamericana, Major in Intellectual Property Law at Universidad Panamericana, with more than 20 years of experience in Intellectual Property.
AREAS OF PRACTICE
As a lawyer specialized in intellectual property, she has focused her practice in advising domestic and foreign clients in the protection and maintenance of their trademarks, patents, copyrights and other intellectual property assets, having dedicated a large part of her career to trademark law, both in prosecution and related litigation and the management of trademark portfolios at an international level. In addition, she has experience in the preparation and negotiation of assignment, license, franchise, industrial secrets and non-disclosure agreements, among others.
Emilia is a member of the Mexican Association for the Protection of Intellectual Property (AMPPI) and the International Trademark Association (INTA).
